TERMS AND CONDITIONS

 

1 – QUOTATIONS – CONTRACTS – INVOICES

Our quotations, contracts and invoices include our general terms and conditions of sale. In the event of any discrepancy between the terms of sale stipulated in our order acceptance and those communicated by the customer, the terms of our order acceptance shall prevail, unless modified in writing and accepted by us.

2 – BIRTH OF THE ORDER

Orders are accepted under the conditions of sale below. Unless formally accepted in writing, there shall be no modification whatsoever applicable to our general conditions of sale. Any additional work or supplies will give rise to separate quotations and order forms and additional invoices accepted under the same conditions as above.

In the event that the preparation of an estimate requires a special study, the corresponding costs will be invoiced. Orders only become effective once we have given our agreement by acknowledgement of receipt.

3 – DELIVERY TIMES AND CONDITIONS

Under no circumstances may a delay in supply, for whatever reason, give rise to cancellation of the order placed or to damages; partial or national strikes and bad weather constitute cases of force majeure.

4 – PRICES

Prices are valid for orders received within 30 days of the quotation date. After this period, they will be revised and must be accepted to trigger production. They may be revised according to the lead times requested and economic variations.

5 – GUARANTEE

Our warranty is limited simply to the repair or replacement of products supplied and recognised as defective, to the exclusion of any compensation relating to ancillary costs or damages for immobilisation or otherwise.

The warranty period is limited to 6 months from the date the equipment is made available, subject to proper use.

In all cases, production losses are never covered.

6 – TERMS OF PAYMENT

Our terms of payment are: a deposit of 40% on order and the balance on delivery, unless otherwise agreed in writing and signed by EUROP SERVICE INDUSTRIE and its customer. In accordance with the law, bills of exchange must be returned within 8 days of their date of issue, duly accepted and signed.

7 – COMPLAINTS RESERVATIONS

Any dispute or justified complaint must be made by registered letter with acknowledgement of receipt within 8 clear days of the delivery date.

8 – SUB-CONTRACTING

It is expressly agreed that EUROP SERVICE INDUSTRIE may, under its own responsibility, subcontract all or part of the work to a commercial or craft company of its choice, in accordance with EUROP SERVICE INDUSTRIE’s general terms and conditions of sale.

9 – PAYMENT

In the event of late payment, for whatever reason and in accordance with article 6 above, all sums remaining due shall become immediately payable.

The outstanding principal will be increased by 10% as a penalty clause and by 1.5% interest per month of delay in accordance with article 1229 of the French Civil Code, with a minimum of €400.

10 – RESERVATION OF OWNERSHIP CLAUSE

In accordance with the law currently in force, the goods and equipment delivered shall remain the property of EUROP SERVICE INDUSTRIE until full payment of their price as well as all sums and related thereto.

However, as soon as the equipment is delivered, the Buyer shall become responsible for it, the transfer of possession implying the transfer of custody. Consequently, the Buyer must take out an insurance policy covering the risks of deterioration, loss, theft or any other damage including waiver of recourse against the seller.

11- DISPUTES

In the absence of an amicable agreement, it is expressly agreed that all disputes shall fall within the jurisdiction of the Commercial Court of CHARTRES (28).
